These Terms of Service (the "Terms") govern your access to and use of the AIMS Charter software-as-a-service platform (the "Service") provided by High Intent Digital ("High Intent Digital", "we", "us", or "our"). By creating an AIMS Charter account, or by accessing or using any part of the Service, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" in these Terms refer to that organization.
"Account" means a customer tenant on the Service, identified by a unique slug and holding the modules, users, documents, and activity records associated with the customer.
"Charter" means the operational artifact the Service produces from the modules populated in an Account.
"Customer Data" means all information, documents, module entries, policies, attestations, incidents, vendor scoring, activity records, and any other content you or your Users submit to, upload to, or generate within the Service.
"Documentation" means the user-facing documentation, help articles, and guides High Intent Digital publishes for the Service, as updated from time to time.
"Subscription Plan" means the Service tier and any add-ons you subscribe to (Free AI Risk Snapshot, Core, Extended, Max, or Fully Managed) as described on our public pricing pages and in your order confirmation.
"User" means an individual authorized to use the Service under your Account (typically an employee, contractor, or advisor).
AIMS Charter is a software platform that helps organizations document, manage, and demonstrate governance over their use of artificial intelligence tools. It provides modules for AI use case inventory, vendor scoring, policy attestation, incident response, framework alignment, document repository, and related governance functions. The Service is offered in multiple Subscription Plans with different feature sets and capacity limits, as described on our pricing pages.
High Intent Digital may modify, add, or remove features of the Service at any time. Where a modification materially reduces the functionality of your Subscription Plan, we will notify you and, at our discretion, offer a pro-rated refund or a credit against future fees.
What the Service is not: The Service is a governance and operations tool. It is not legal advice, tax advice, insurance advice, or audit advice. Framework alignment is a design property of the underlying management system. Frameworks and instruments the Service maps to include: NIST AI RMF 1.0 and the NIST AI RMF Generative AI Profile (2024); ISO/IEC 42001 (AI management system), ISO/IEC 23894 (AI risk management), and ISO/IEC 27001 (information security management); SOC 2 Trust Services Criteria (TSC 2017/2022); the EU AI Act and the EU AI Act Bridge track (prEN 18286); GDPR; the NIS 2 Directive, DORA, and the EU Data Act; the Colorado AI Act (SB 205/SB 26-189), Utah AI Policy Act amendments, California SB 942, New York City Local Law 144, and the Illinois Artificial Intelligence Video Interview Act; and the OECD AI Principles. Formal certification against any of the foregoing (or, for SOC 2, a formal attestation report) is issued only by an accredited certification body or CPA firm engaged separately by you. High Intent Digital does not issue certifications or attestations.
You may register for an Account only if you are at least 18 years old and legally capable of entering into a binding contract. You must provide accurate, complete, and current registration information and keep it updated.
You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. Notify us promptly at security@highintentdigital.com if you suspect unauthorized access.
You are responsible for authorizing individual Users, assigning appropriate roles, and revoking access when a User no longer requires it. You agree that all Users will comply with these Terms and with the Acceptable Use section below.
Free tier. The AI Risk Snapshot is offered at no charge. No payment method is required to take the AI Risk Snapshot and no auto-renewal applies.
Paid tiers. Subscription fees for Core, Extended, and Max are billed monthly in advance via the payment method on file (or annually where you elect annual billing). Fully Managed engagements are billed under a separate written statement of work.
Auto-renewal. Paid Subscription Plans renew automatically at the end of each billing period unless cancelled before renewal via your Customer Portal or by contacting us at billing@highintentdigital.com.
Fee changes. We may change our fees on 30 days' prior written notice. If you do not agree to a fee change, you may cancel your Subscription Plan before it takes effect.
Refunds. Fees are non-refundable except (a) as expressly required by applicable law, (b) as expressly provided in the Subscription Plan you purchased (for example, a specific refund window advertised at time of purchase), or (c) at our sole discretion. Refund requests may be sent to billing@highintentdigital.com.
Taxes. All fees are exclusive of applicable taxes (sales, use, VAT, GST, or similar). You are responsible for such taxes except those based on our net income. Where required, we will collect applicable taxes on your invoice.
Payment failures. If a payment fails, we may suspend paid features of your Account until payment is current. Account data is preserved during suspension.
Term. These Terms remain in force from the date you create an Account and continue until terminated by either party as provided below.
Termination by you. You may cancel your Subscription Plan at any time via your Customer Portal or by contacting us. Cancellation takes effect at the end of the then-current billing period; you retain access until then. Free AI Risk Snapshot accounts may be deleted at any time by contacting us.
Termination by us. We may suspend or terminate your Account (a) for material breach of these Terms (including non-payment), (b) if required by law, (c) if we discontinue the Service (with at least 60 days' notice), or (d) at our sole discretion with prior notice.
Effect of termination. On termination, your paid access to the Service ends. We retain your Customer Data for a period of 90 days after termination (the Retention Window) so you may export it. After the Retention Window closes we may permanently delete your Customer Data. On written request we will delete your Customer Data sooner, subject to any legal obligation to retain it.
Data portability on termination. Throughout the Retention Window you retain the ability to download your Customer Data. Portability is available two ways: (a) if you still have an active admin login you may self-serve export via the Service's export function; and (b) at any time during the Retention Window you may email security@highintentdigital.com to request an admin-mediated export, which we will provide within one business day. The export is a full JSON copy of your Charter (profile, users, modules, activity log). Uploaded document bytes remain available for individual download from the Document Repository during the Retention Window.
Permanent deletion. After the Retention Window closes, an AIMS Charter administrator may permanently purge your Customer Data. Every purge writes an entry to our internal deletion audit log (retained separately as a compliance record) capturing the account identifier, purge timestamp, purging administrator, and record counts. Deletion cascades to: account data, activity log, uploaded documents, and user records whose only account membership was yours (users with memberships on other accounts are preserved).
Survival. Sections 4 (accrued fees), 7, 8, 9, 10, 11, 12, and 14 survive termination.
